MEDIA SUBMISSION AGREEMENT By clicking "Agree" and submitting any photograph, video, or other digital media, I hereby agree and consent to the terms of this Media Submission Agreement. In consideration for the opportunity to utilize the Greater Fort Lauderdale Convention and Visitors Bureau's ("GFLCVB") platform, which provides for the submission of photographs, videos, or other digital media (collectively, "Media") supporting partner listings and/or events on the www.VisitLauderdale.com website, the person or entity submitting the digital media ("Submitter") hereby grants to Broward County ("County") and its agency, the GFLCVB, an irrevocable and perpetual right to use the Media subject to the terms and conditions set forth in this Media Submission Agreement ("Agreement"). 1. Media Submission. Submitter hereby voluntarily submits the Media to County. Submitter represents and warrants that Submitter owns all necessary rights to the Media and has the authority and right to submit the Media and grant the permissions provided hereunder. 2. License and Intellectual Property. Submission of the Media does not alter the ownership of the copyright in the submission. However, by submitting the Media, Submitter grants County and third parties so authorized by County, a royalty-free, worldwide, perpetual, irrevocable, and nonexclusive license to display, distribute, reproduce, and create derivative works of the Media, in whole or in part, in any medium now existing or subsequently developed, to: (a) support their work, and that of Broward County's agencies, affiliates, vendors, and nonprofit partners; and (b) the right for County to sublicense, with or without a fee, County's license rights under this Agreement to third parties that have a business relationship with County. Potential uses of the Media include, but are not limited to print, digital, or electronic newsletters, websites, social media (e.g., Facebook, Twitter), slide shows, promotional items such as printed cards and calendars, and other forms of print or electronic publication and social media. The license granted under this Agreement for the use of the Media shall be unrestricted as to location, quantity, and frequency. Any Media reproduced by County or any third party so authorized by County may or may not include credit acknowledging the Submitter or the creator of the Media. County will not be required to pay Submitter any additional consideration or seek any additional approvals from Submitter in connection with these permitted uses. 3. Right to Alter. Submitter specifically grants permission to County, in County's sole discretion, to edit, crop, alter, and/or distort the Media, and to use the Media in whole or in part, in conjunction with other images, graphics, text, and sound in any way whatsoever and without restrictions to the fullest extent allowed by law. The permission herein granted is absolute and final and shall not be subject to Submitter's further inspection or approval at any stage. 4. Releases. Submitter is responsible for obtaining, and has obtained, any and all necessary releases from any and all identifiable persons depicted in the Media (including for minors, a release from their custodial parent or legal guardian). Submitter represents and warrants that any persons appearing in the Media have given consent for the permitted uses provided herein. Submitter agrees to indemnify and hold County and its employees and agents harmless from and against any and all claims and liability by third parties relating to or arising from lack of any required release or consent. 5. Copyright Infringement. Submitter represents and warrants that: the Media does not infringe on any third party's proprietary, personal, privacy, or any other right of a third party; the Media's submission and the uses authorized by Submitter as stated herein do not infringe upon or violate any law, statute, or ordinance, or infringe upon any other right of any kind, including without limitation, rights affecting copyright, patent, trademark, unfair competition, defamation, privacy, or publicity; and Submitter has obtained any necessary permissions from any third party if a third party or third party's property appears in the Media.6. Indemnification. Submitter hereby agrees to release, defend, indemnify, and hold harmless County, and all of County's current, past, and future officers, agents, and employees (collectively, "Indemnified Party") from and against any and all claims, losses, suits, damages and liability, including attorneys' fees and costs through conclusion of any appeal, arising out of the submission of the Media to County or publication or distribution of the Media, including but not limited to copyright, trademark, or patent infringement, raised or asserted by any person or entity not a party to this Agreement (collectively, a "Claim"). If any Claim is brought against an Indemnified Party, Submitter shall, upon written notice from County, defend each Indemnified Party with counsel satisfactory to County or, at County's option, pay for an attorney selected by the County Attorney to defend the Indemnified Party. 7. Sovereign Immunity. Nothing herein is intended to serve as a waiver of sovereign immunity by County nor shall anything included herein be construed as consent by County to be sued by third parties in any matter arising out of this Agreement. County is a political subdivision as defined in Section 768.28, Florida Statutes, and shall be responsible for the negligent or wrongful acts or omissions of its employees pursuant to Section 768.28, Florida Statutes. 8. Third-Party Beneficiaries. Neither Submitter nor County intends to directly or substantially benefit a third party by this Agreement. Therefore, the parties acknowledge that there are no third-party beneficiaries to this Agreement and that no third party shall be entitled to assert a right or claim against either of them based upon this Agreement. 9. Publicity. Submitter hereby consents to County's use of Submitter's name, likeness, and other information related to the Media for promotional purposes in any and all media that may be chosen in the County's sole and absolute discretion, without any payment or consideration due to Submitter of any kind whatsoever. 10. Removal of Image. County reserves the right to remove any Media from the GFLCVB website at any time without notice to Submitter. 11. Jurisdiction and Venue. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. The exclusive venue for any lawsuit arising from, related to, or in connection with this Agreement shall be in the state courts of the Seventeenth Judicial Circuit in and for Broward County, Florida. If any claim arising from, related to, or in connection with this Agreement must be litigated in federal court, the exclusive venue for any such lawsuit shall be in the United States District Court or United States Bankruptcy Court for the Southern District of Florida. Submitter hereby expressly waives any rights it may have to a trial by jury of any civil litigation related to this agreement. 12. Submitter agrees that all the provisions hereunder shall be binding upon it as well as Submitter's collective heirs, legal representatives, and assigns. 13. If any part of this Agreement is found to be unenforceable by any court of competent jurisdiction, that part shall be deemed severed from this Agreement and the balance of this Agreement shall remain in full force and effect.


Examples include photos of the interior and exterior of the restaurant, food images, chef headshots, etc. Images must be photographs - no logos or writing and in a 'jpg', 'png', or 'gif' format. Images should be horizontal and be at least 900 x 600 pixels. Note: Visit Lauderdale reserves the right to reject, modify and reuse all submitted images. Tips for uploading your event photo here.
